Parties and agreement
This Partnership Agreement and Order Form is between Injecting Leadership LLC, a Washington limited liability company with a business address at 19120 SE 34th St No 202, Vancouver, Washington 98683, and the Partner identified above. The Order Form, these terms, and any written exhibit signed by both parties form the complete Agreement.
Services and deliverables
Injecting Leadership will provide the selected package’s included deliverables, itemized in full in the completed Order Form, and any agreed special terms. Other packages and services do not stack unless expressly included. Availability, guest fit, episode timing, and final content remain subject to Injecting Leadership approval and the review rights below. Any placement, clip, production edit, revision, license extension, or production service beyond the express inclusions requires a separate written quote and approval. Injecting Leadership is brand agnostic and may work with competing companies. No category exclusivity is included.
Launch pricing and renewal discount
The initial five Premier partnerships received 20% off the $5,000 list fee, for a $4,000 fee. Those five launch-rate places are fully allocated. Every Season 2 Partner receives 20% off future-season partnerships at any tier. Discounts do not stack; the maximum discount on any single partnership is 20% off its list fee. At a $5,000 Premier list fee, an eligible renewing Partner pays $4,000, not 20% off $4,000. Record the applicable list fee, discount, eligibility, and total contract fee in each Order Form. Future partnership availability and fit remain subject to approval; the renewal benefit does not automatically book a future season.
Payment
The full contract fee is due within seven calendar days after invoice and before recording, production, publication, or partner placement, whichever occurs first. Injecting Leadership is not required to reserve inventory or begin work before cleared payment. Overdue undisputed balances may accrue interest at 1.5 percent per month or the maximum lawful rate, whichever is lower, plus reasonable collection costs.
Scheduling and partner delay
Recording and publication dates are estimates until confirmed in writing. The Partner must supply required information, materials, approvals, and participant availability by the deadlines provided by Ashley Nicole Miller. A partner-requested reschedule requires at least seven calendar days notice and is subject to availability. Injecting Leadership may treat material partner delay as a request to reschedule and may move the placement to a later available date. Recording order and publication order are separate; a first recording slot does not guarantee first publication unless the Order Form expressly provides both.
Cancellation and make goods
Fees become nonrefundable when production work begins or a recording or placement date is reserved. If Injecting Leadership cannot deliver a contracted item for reasons within its reasonable control, it may provide a substantially comparable substitute placement or refund the reasonable pro rata value of the undelivered item. This is the Partner's exclusive remedy for nondelivery. Injecting Leadership may remove or decline content that creates legal, regulatory, safety, reputational, or editorial concerns.
Partner materials and approvals
The Partner will identify one authorized approval contact. Injecting Leadership will request approval of partner-supplied facts, commercial-read wording, logo, link, code, and other items identified in the Order Form. For Tier 2 and Tier 3, the Partner must submit the questions, key messages, and any required regulatory or compliance language for the company-focused portion before recording. The Partner receives one pre-publication review and may submit one consolidated round of edits before release. All feedback and requested edits must be submitted together during this single review; no second review round is included. The Partner must provide one consolidated response within two business days after receiving a review request unless the parties agree otherwise in writing. Injecting Leadership will address the consolidated edit requests before release and retains final editorial control and responsibility for production quality, accuracy, and required disclosures. Partner input and review do not include scripting the hosts’ views or unrestricted approval of the final episode.
Disclosure and editorial independence
Injecting Leadership will clearly and conspicuously identify paid episodes and placements as paid partnerships. Required disclosures must remain in approved clips and Partner reuse, in every use. The Partner may not require deceptive, ambiguous, or hidden disclosure language. Editorial guests are invited and never pay; paid partner episodes are commissioned content. Partnerships do not buy favorable opinions, host endorsement, editorial conclusions, or control over unrelated editorial discussion. The hosts do not endorse the Partner’s products.
Partner materials and claims
The Partner is responsible for the truth, accuracy, legality, and substantiation of every fact, claim, testimonial, comparison, logo, trademark, link, code, instruction, and other material it supplies. The Partner will provide support for objective, clinical, safety, efficacy, financial, performance, or comparative claims upon request. Injecting Leadership may reject or revise unsubstantiated, misleading, off-label, noncompliant, or unsafe claims. The Partner grants Injecting Leadership a nonexclusive, worldwide, royalty-free license to use approved Partner Materials solely to perform and promote the contracted partnership.
Guest participation
Each Tier 2 or Tier 3 guest must complete a separate Guest Intake and Appearance Release before recording. The Partner will ensure that every proposed guest is authorized to participate and understands that Injecting Leadership retains editorial control. Multiple approved guests may participate in the same episode when the total contracted episode scope and deliverables remain unchanged. A larger panel, longer episode, or expanded production requires prior written approval and may require a separate quote. If a proposed guest is unavailable or not approved, the parties will work in good faith to select a substitute or reschedule, but payment does not guarantee any particular guest or favorable interview. Injecting Leadership will remove disparaging remarks about other companies or individuals from the final edited episode and delivered clips before release.
Ownership
Injecting Leadership owns the master recordings, edits, episode pages, show graphics, captions, transcripts, clips, and all other production materials it creates, excluding the Partner Materials. No ownership transfers to the Partner.
Permitted reuse and license terms
For Tier 2 and Tier 3, Injecting Leadership grants the Partner a nonexclusive, nontransferable license to use the delivered final edited master video and audio files of the full episode and up to two approved clips already created for the show for sales, marketing, and recruiting for 24 months from the episode’s initial publication date. This includes use on the Partner’s and featured guests’ owned channels, in sales and recruiting materials, and in advertising. The Order Form records the publication date and corresponding license end date when known; the term runs from actual publication and is not extended by a blank administrative date field. The Partner must stop all use of the licensed files and clips when the 24-month term ends unless an extension is agreed in writing. Tier 1 does not include this episode-and-clip license.
Permitted edits and approved clips
The Partner may trim licensed assets for length and adapt their format, including resizing or cropping, while preserving meaning, required disclosures, and credits. The Partner may not make misleading edits, imply host endorsement, sell or white-label the assets, or place them behind a paid product. Whitelisting and sublicensing require separate written permission. The license does not transfer ownership or grant access to raw footage. Only up to two clips already created for the show and selected and approved by Injecting Leadership are included; no additional social posts, partner account management, custom clips, or additional production versions are included unless separately agreed in writing. Approved clips for these paid partnerships may include the contracted Partner’s name and branding. This specific permission supersedes the general third-party brand-name prohibition for those approved partnership clips and their approved accompanying assets only; other social clips and accompanying audio, captions, titles, thumbnails, tags, and metadata may not contain third-party brand or company names without a specific written exception from Ashley Nicole Miller. The single included pre-publication review is governed by Partner materials and approvals above.
No performance guarantee
Injecting Leadership does not guarantee downloads, views, impressions, clicks, leads, revenue, conversions, audience growth, platform placement, or any other business result. Platform availability, algorithms, and third-party distribution are outside Injecting Leadership's control.
Confidential information
Each party will use reasonable care to protect nonpublic business information identified as confidential and will use it only to perform this Agreement. This obligation does not apply to information already known without restriction, publicly available through no breach, independently developed, or lawfully received from another source. Recording content is not confidential unless the parties agree in writing before recording.
Indemnification
The Partner will defend, indemnify, and hold harmless Injecting Leadership LLC, Jake Laban, Tod Reed, Ashley Nicole Miller, and their contractors and distributors from third-party claims, losses, liabilities, and reasonable legal fees arising from Partner Materials, Partner claims or instructions, Partner products or services, or the Partner's breach of this Agreement. Injecting Leadership will promptly notify the Partner of a covered claim and reasonably cooperate in the defense.
Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits arising from this Agreement. Injecting Leadership's aggregate liability will not exceed the fees actually paid under the applicable Order Form. These limits do not apply to intentional misconduct or obligations that cannot lawfully be limited.
Term and termination
This Agreement begins on the Effective Date and continues until the contracted deliverables are completed unless terminated earlier under this section. Injecting Leadership may suspend or terminate for nonpayment, material breach, unlawful or unsafe content, material reputational risk, or failure to provide required materials after written notice and a reasonable opportunity to cure when appropriate. Completion of services does not shorten the 24-month license term or the Season 2 renewal discount. Payment, ownership, license terms and restrictions, discount rights, confidentiality, indemnification, liability limits, and dispute terms survive.
Force majeure
Neither party is liable for delay caused by events beyond reasonable control, including severe illness, platform outage, natural disaster, government action, labor disruption, or interruption of utilities or communications. The affected party will give prompt notice and the parties will work in good faith to reschedule or provide a comparable substitute.
Independent parties and assignment
The parties are independent contractors. This Agreement does not create an employment, agency, partnership, joint venture, fiduciary, or franchise relationship. The Partner may not assign this Agreement without Injecting Leadership's written consent. Injecting Leadership may assign it to a successor to the show or its business.
Governing law and venue
Washington law governs this Agreement without regard to conflict-of-law rules. Any dispute will be brought exclusively in a state or federal court with jurisdiction in Clark County, Washington, and each party consents to that venue.
Notices
Operational notices may be sent by email to the contacts listed in the Order Form. Legal notices to Injecting Leadership must be sent to injectingleadership@gmail.com and the business address above. A party must promptly update its notice information.
Electronic signatures and counterparts
The Agreement may be signed electronically and in counterparts. Each signed counterpart is treated as an original and all counterparts together form one instrument.
Entire agreement
This Agreement is the complete agreement concerning the partnership and replaces prior proposals or discussions on the same subject. A purchase order or Partner form does not add terms unless Injecting Leadership expressly signs those terms. Any amendment or waiver must be in a writing signed by both parties. If any provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver.
